Welcome to Vellum Dynamics. These Terms of Service (“Terms”) govern your access to and use of our website located at vellumdynamics.com, including any content, services, features, and AI-enabled widgets (such as the AI Assistant Vera) made available on or through the site.

By accessing, browsing, or using our website, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our website.

2. Legal Identity & DBA

Vellum Dynamics is a registered Trade Name / Doing Business As (DBA) of NuBack Institute of North Idaho, an Idaho business corporation.

All legal obligations, contracting, and official communications are processed under the legal entity name of NuBack Institute of North Idaho. Vellum Dynamics is the public-facing brand under which we deliver our AI consulting, automation development, and integration systems.

4. Intellectual Property Rights

Unless otherwise indicated, this website, its source code, design elements, layouts, copywriting, graphics, and interactive features are the proprietary property of NuBack Institute of North Idaho and are protected by copyright, trademark, and other intellectual property laws.

Clients who contract with us for custom software development, integrations, or website builds will be governed by the intellectual property transfer terms specified in their individual Statement of Work (SOW) and Master Services Agreement (MSA).

5. Client Engagements & Booking

Our website allows you to schedule calls and book consultation times. Booking an appointment does not guarantee engagement or constitute a contract for services. Formal client projects require a signed service agreement and deposit before custom strategy or system builds commence.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall NuBack Institute of North Idaho dba Vellum Dynamics, its directors, employees, or partners, be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) the website.
• Any conduct or content of any third party on the website.
• Errors, omissions, or inaccuracies in any website content or AI responses.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Idaho, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Kootenai County, Idaho.
